Terms of Use

Off/Market Exchange is a private, members-only platform for vetted property professionals. It is not open to the general public. Access is granted solely at the discretion of Off/Market Exchange Ltd following a successful membership application.

The platform facilitates introductions between property professionals acting on behalf of vendors and buyers of residential and commercial assets. It does not provide property advice, investment advice, legal advice, or financial advice.

Membership is by application only. Submitting an application does not guarantee access. Off/Market Exchange Ltd reserves the right to approve or decline any application without providing a reason.

All members must be property professionals actively transacting in residential or commercial property. Members agree, on joining, to the Membership Agreement and Platform Rulebook in full. These form binding obligations.

Off/Market Exchange Ltd may suspend or terminate any membership at any time for breach of platform rules, conduct unbecoming of a professional, or any other reason it considers sufficient.

Every asset listed on the platform must be direct. The listing member must hold a signed Terms of Business with the vendor. Listings are reviewed by Off/Market Exchange Ltd administrators before going live. Any listing found to be indirect, fabricated, or in breach of platform rules will be removed.

Asset information shared on the platform is strictly confidential. It may not be marketed online, published on social media, forwarded to non-members, or used for any purpose other than conducting a deal through the exchange. Breach of this rule is grounds for immediate suspension.

Each deal on the platform involves exactly two members: one acting for the buyer and one acting for the vendor. No additional intermediaries are permitted. Both members must have a minimum 1% fee agreed with their respective client before any offer can proceed.

Both the buying agent and the selling agent must present a signed Terms of Business with their client before an offer is submitted. The platform will not permit an offer to proceed without both documents uploaded and verified.

A platform fee of 15% of each member's total commission is payable to Off/Market Exchange Ltd on completion of any deal originated through the exchange. This obligation is agreed at the point of membership and applies to all members without exception.

Off/Market Exchange Ltd operates the platform as a deal exchange and introduction service. It is not a party to any deal, does not provide representations as to the accuracy of listing information, and accepts no liability for loss arising from any transaction conducted through the platform.

Members are responsible for conducting their own due diligence, legal checks, and AML/KYC obligations on their clients. The platform does not provide a regulated service and is not authorised by the Financial Conduct Authority.

Off/Market Exchange Ltd's total liability to any member, in any circumstances, is limited to the platform fees paid by that member in the preceding 12 months.

All content on this website and the platform, including the Off/Market Exchange name, brand, and software, is the property of Off/Market Exchange Ltd. Nothing on this site grants any licence to use Rothmore or Off/Market intellectual property.

Off/Market Exchange Ltd may update these Terms of Use at any time. Continued use of the platform following notification of any change constitutes acceptance of the updated terms. Members will be notified of material changes by email.

These Terms of Use are governed by the laws of England and Wales. Any dispute arising in connection with this website or the platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
